Minimum Advertising Pricing (MAP) Agreement

 

Effective Date: May 21, 2025

 

1. PURPOSE

Prodrome Science maintains a Minimum Advertised Price policy to protect the integrity of its brand, preserve fair market value, and support our network of health professionals and authorized resellers. This Agreement outlines the terms and conditions of compliance with that policy.

 

2. MINIMUM ADVERTISED PRICE (MAP)

  • Reseller agrees not to advertise any Prodrome Science product at a price lower than the MAP established and communicated in writing by the Company.

  • The MAP schedule may be updated periodically, and it is the Reseller’s responsibility to ensure compliance with the current pricing.

  • MAP applies to all forms of public advertising, including but not limited to:

    • Online e-com stores

    • Paid ads (e.g., Google Ads, Facebook)

    • Email campaigns

    • Social media posts

    • Price comparison engines

    • Printed flyers, catalogs, or circulars

3. DISCOUNT CODE USAGE

Discount codes may not be posted on any public website, blog, online coupon site, forum, or discussion board that can be indexed and discovered through search engines (e.g., Google, Bing). This includes but is not limited to sites like RetailMeNot, Honey, Slickdeals, Reddit, or any SEO-optimized personal websites. Codes are intended solely for private, direct communication with your clients. Sharing must be done via email, SMS, private groups, during direct client consultations, or your own social media platform.

 

4. EXCEPTIONS

  • The Reseller may sell below MAP in private, non-public communication to individual patients/clients or within secured patient portals.

  • Temporary promotions or discounts below MAP must be pre-approved in writing by Prodrome Science at least 10 business days in advance.

 

5. ENFORCEMENT

Violations of this Agreement may result in the following escalating actions:

  1. First Violation: Written warning and 5 business days to comply.

  2. Second Violation: Temporary suspension of account or purchasing privileges.

  3. Third Violation: Termination of reseller relationship and removal from the authorized distributor list.

6. TERM & TERMINATION

This Agreement will remain in effect until terminated by either party with 30 days written notice to the parties address as set forth above.. However, Prodrome Science reserves the right to terminate this Agreement immediately upon a third violation or willful non-compliance.

 

7. CONFIDENTIALITY

The MAP schedule and related pricing structures are confidential and may not be disclosed to third parties without prior written consent.

 

8.  DAMAGES

The Reseller understands that a breach of this agreement by disclosing confidential information will result in substantial harm to the Company and Reseller agrees to pay the Company the sum of $5,000.00 plus actual cost. 

 

9. ACKNOWLEDGMENT

By creating an account on Prodrome Science, the Reseller agrees to comply with the terms of this MAP Agreement and acknowledges receipt of the current MAP price list.
